Agreement to Terms
By purchasing services from Entity Cleanup, operated by Miles Teperman at 195 Longview Drive, Scarsdale, NY 10583, you agree to be bound by these Terms of Service. If you do not agree, do not purchase our services.
Services Provided
Entity Cleanup provides LLC cancellation filing services. Specifically, we prepare and file FTB Form 3716 PC (voluntary administrative cancellation) with the California Franchise Tax Board and SOS Form LLC-4/7 (Certificate of Cancellation) with the California Secretary of State on your behalf. Our service includes preparation and submission of both filings for a flat fee of $399.00 USD. There is no state filing fee for LLC cancellation in California.
Our service includes a back tax waiver request. FTB Form 3716 PC requests a waiver of unpaid franchise taxes that accrued while the LLC was suspended. Approval of the waiver is at the FTB's discretion. We will inform you if we discover issues that may affect your filing, but resolving them is up to you.
Authorization to File
By purchasing the LLC Cancellation Service and completing payment, you represent and warrant that:
- You are a member, manager, or duly authorized representative of the LLC named at checkout.
- You have the legal authority to authorize the cancellation of that LLC with the California Franchise Tax Board and Secretary of State.
- Any required internal approvals — including member consents as required by your operating agreement — have been obtained prior to your purchase.
- The LLC has no pending litigation or creditor claims that would make cancellation improper, or you have independently determined that cancellation is appropriate notwithstanding such matters.
Entity Cleanup relies on these representations in filing FTB Form 3716 PC and SOS Form LLC-4/7 on your behalf. If any of the above representations are inaccurate, you agree to indemnify and hold harmless Entity Cleanup and its owner from any claims, damages, or costs arising from the filing.
What We Are Not
Entity Cleanup is a document filing service. We are not a law firm, and we do not provide legal advice, tax advice, or accounting services. Our service is limited to preparing and filing cancellation paperwork based on the information you provide. If you have questions about the legal or tax implications of cancelling your LLC, we strongly recommend consulting a licensed attorney or CPA.
Your Responsibilities
When you purchase our service, you represent and agree that:
- You are authorized to cancel the LLC in question — meaning you are a member or manager with authority to act on the LLC's behalf.
- The information you provide (LLC name, your name, contact information) is accurate and complete.
- You understand that cancellation is a permanent action — once the state processes the filing, the LLC will be cancelled.
- You understand that while FTB Form 3716 PC requests a waiver of back franchise taxes, approval is at the FTB's discretion.
- You are responsible for notifying any relevant parties (creditors, partners, banks, etc.) about the cancellation as required by law.
Processing & Timeline
We will prepare and submit your cancellation filing within a few business days of receiving your order, signed forms, and the required information. Once submitted, the FTB and Secretary of State process filings on their own timeline (typically 6–10 weeks total), which is outside our control. We will send you a confirmation email when we submit the filing and again when the state confirms the cancellation.
Refund Policy
Full refund if we can't complete your filing. If for any reason we are unable to file your cancellation — for example, if the LLC has already been cancelled, if the FTB or Secretary of State rejects the filing, or if we encounter an issue we cannot resolve — we will issue a full refund of your $399 payment.
Refund requests before filing. If you change your mind before we have submitted the filing to the state, contact us and we will issue a full refund.
No refund after filing. Once we have submitted FTB Form 3716 PC and SOS Form LLC-4/7, the payment is non-refundable, as the work has been completed.
Payment
Payment is processed securely through Stripe. We accept major credit cards, Apple Pay, and other payment methods available through Stripe. By submitting payment, you authorize the one-time charge of $399.00 USD. There are no subscriptions, recurring charges, or hidden fees.
Limitation of Liability
Entity Cleanup's total liability to you for any claim arising from our services is limited to the amount you paid for the service ($399). We are not liable for any indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, penalties, fines, or fees imposed by any government authority.
We are not responsible for delays or errors caused by the California Franchise Tax Board, Secretary of State, incorrect information provided by you, or circumstances beyond our reasonable control.
No Warranties
Our services are provided "as is." While we make every effort to complete your filing accurately and promptly, we do not guarantee any specific outcome or timeline from the state. State processing times and requirements may change without notice.
Intellectual Property
All content on our website — including text, design, and branding — is the property of Entity Cleanup and may not be copied or reused without our written permission.
Disputes
These terms are governed by the laws of the State of New York. Any disputes will be resolved in the courts located in Westchester County, New York. Before pursuing formal legal action, both parties agree to attempt to resolve any dispute through good-faith communication.
Changes to These Terms
We may update these terms from time to time. If we make material changes, we will update the "Last updated" date at the top of this page. Continued use of our services after changes are posted constitutes acceptance of the updated terms.
